(Business Wire; 08/31/98)

CINCINNATI (Aug. 31) BUSINESS WIRE -Aug. 31, 1998--Star Bank, N.A., recently
signed a definitive agreement to purchase nine in-store banking locations
inside Winn Dixie/Thriftway stores in Greater Cincinnati. Star Bank purchased
the nine locations from Financial Supermarket, Inc. (FSI), a consulting firm
which specializes in the marketing of in-store banks. The in-store locations
were sold to FSI by Provident Bank which previously owned the nine branch
locations. Winn Dixie is the parent company of the Thriftway stores. Terms of
 the agreement were not disclosed.

This acquisition of nine branch offices gives Star Bank 20 in-store locations
in Greater Cincinnati with offices in Meijer stores, Remke's Markets, LoBill
Foods, and Winn Dixie/Thriftway stores. With the addition of these nine new
locations, Star Bank now has 83 in-store locations in Ohio, Kentucky and
 Indiana.

The nine locations purchased by Star Bank were previously operated as Provident
Bank branches inside Winn Dixie/Thriftway stores with eight of the in-store
branches in Ohio communities including Anderson Township, Delhi, Western Hills,
Harpers Point, Hyde Park, Monfort Heights, Northgate and Springdale and one in
 Alexandria, Kentucky.

commented, "We are very pleased to announce this enhancement to our
relationship with Winn Dixie and our growing and highly successful in-store
banking division. Currently, Star Bank has branches inside Winn Dixie stores in
other markets and we plan to further this relationship with additional
locations in their Midwest marketing area. As in all our banking locations,
Star Bank and Winn Dixie/Thriftway will work to give customers the highest
levels of convenience and service, seven days a week. We feel very fortunate to
have an outstanding partner like Winn Dixie/Thriftway to augment our customer
convenience commitment in Greater Cincinnati. As a 135 year old organization,

customers. These are traits that are shared by Winn Dixie/Thriftway, which also
incorporates customer driven strategies into their day-to-day operations."

converted from Provident Bank to Star Bank locations by the morning of Monday,
August 31. Star Bank purchased only the banking facilities, all customer
